Terms of Service

1. Parties and scope

Kledge.ai is operated by PWMP Digital B.V., Netherlands ("Kledge", "we"). These terms apply to everyone who creates an account ("you", the "seller") and to the products you create, host and sell through the platform.

2. The service

Kledge provides software to generate, host and sell digital products such as e-books, bundles and online courses: AI generation, landing pages, a hosted checkout, delivery of downloads and course access, invoices and sales reporting. Kledge does not buy or resell your products and is not a party to the sale between you and your buyer.

3. You are the seller

You sell your products in your own name and for your own account. Buyers contract with you. Payments are processed through your own Stripe account that you connect to Kledge; Kledge does not hold your sales proceeds. You are responsible for the content, legality, accuracy and delivery quality of your products, for your buyer terms and refund policy, and for handling buyer questions and complaints.

If you have not connected a Stripe account, sales run through Kledge's platform account and Kledge remits the proceeds to you after deducting the applicable fees.

4. Taxes

You are responsible for all taxes on your sales, including VAT, GST and sales tax, in every country where they are due. This includes deciding where you must register, registering (for example in your own country, for the EU One Stop Shop, or in the United Kingdom), charging the correct tax at checkout, issuing compliant invoices, filing returns and paying the tax on time.

Kledge provides tools to help you: a tax profile, automatic tax calculation through Stripe Tax on your Stripe account, invoices with tax lines and reports. These tools apply the settings and registrations you configure; Kledge does not verify whether they are complete or correct for your situation and does not provide tax advice. Where you have no registration, no tax is calculated.

Prices you show to consumers in the EU and the United Kingdom must include VAT. Kledge displays your prices tax-inclusive unless you declare that you sell to businesses only.

You indemnify Kledge against claims, assessments, penalties and costs arising from taxes on your sales. Kledge charges VAT on its own fees to you where applicable.

5. Fees

Kledge charges the subscription fee of your plan and, where announced in the plan, a platform fee per sale that is deducted through Stripe. Stripe charges its own processing and Stripe Tax fees to your Stripe account.

6. Content and intellectual property

You keep the rights to the products you create. You grant Kledge the licence needed to generate, host, deliver and display them for you. You warrant that your content does not infringe rights of others and complies with applicable law. Kledge may remove content that violates these terms.

7. Buyers, refunds and access

Buyers receive a personal access link after payment. You decide on refunds; a refund issued through Kledge revokes the buyer's access. You must honour statutory consumer rights that apply to your buyers.

8. Liability

Kledge provides the platform as is. To the extent permitted by law, Kledge is not liable for indirect damage, lost profit, or damage caused by your products, your tax compliance or third-party services such as Stripe. Kledge's total liability is limited to the fees you paid in the twelve months before the claim.

9. Changes and termination

We may change these terms with notice through the platform. You may stop using Kledge at any time; obligations that by their nature continue (taxes, indemnities, buyer access already sold) survive termination.

10. Governing law

Dutch law applies. Disputes are submitted to the competent court in the Netherlands.
